Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Paddi platform at about.paddi.app and the Paddi application (collectively, the "Service"), operated by Paddi ("we," "us," or "our"). Paddi is an AI PM Agent that helps product managers analyze requirements, prioritize decisions, generate specifications, and coordinate code delivery.
By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
The Service
Paddi ingests product requirements and user feedback, analyzes them against your codebase and business goals, prioritizes them, and produces specifications that can be handed to code agents for implementation. The Service is provided on an ongoing basis and may evolve over time.
We may add, modify, or discontinue features at any time. For changes that materially reduce core functionality, we will provide reasonable advance notice.
Eligibility and Accounts
You must be at least 16 years old to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at hello@paddi.app if you suspect unauthorized access.
Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law, regulation, or third-party rights.
- Submit content, or connect repositories, that you do not have the right to share with us or to have processed by the Service.
- Attempt to gain unauthorized access to the Service, other users' data, or our infrastructure, or interfere with the Service's operation or security.
- Reverse engineer, scrape, or use automated means to extract the Service's underlying models, prompts, or data, except where such restriction is prohibited by law.
- Use the Service to generate content that is unlawful, malicious, deceptive, or designed to harm others — including malware, or code intended to compromise systems you are not authorized to test.
- Resell, sublicense, or provide the Service to third parties as a standalone offering without our written permission.
Your Content
You retain all ownership of the requirements, feedback, documents, code, and other material you submit to or connect with the Service ("Your Content"). We claim no ownership over it.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you — including sending it to the AI providers and integrations described in our Privacy Policy. This license ends when you delete Your Content or close your account, except for backups retained for a limited period and content we are required to keep by law.
You are responsible for Your Content and for having the rights necessary to submit it, including any permissions required from your employer, clients, or users.
AI Output and Code Delivery
The Service uses AI models to produce analyses, prioritization recommendations, specifications, code changes, and pull requests ("Output"). As between you and us, you own the Output generated for you, subject to these Terms.
You acknowledge that:
- Output may be incorrect. AI systems can produce inaccurate, incomplete, or unsuitable results. Output is a recommendation, not professional advice or a guarantee of correctness.
- You are responsible for review. You must review, test, and approve any specification, code change, or pull request before merging or acting on it. You remain accountable for what ships to your users.
- Output may not be unique. Similar inputs from other users may produce similar Output, and we make no claim that Output is original or non-infringing.
- Actions are taken at your direction. When you authorize a code delivery session, the Service acts on your behalf within the permissions you have granted.
Third-Party Integrations
The Service connects to third-party platforms such as GitHub and Sentry when you authorize them. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for their availability, behavior, or changes to their APIs, and we may suspend an integration if a provider's terms or technical constraints require it. You are responsible for the permissions you grant and may revoke them at any time.
Plans, Fees, and Billing
Paid plans are billed in advance on the cycle shown at checkout and renew automatically until cancelled. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
We may change pricing with at least 30 days' notice before the change applies to your next renewal. Taxes, where applicable, are your responsibility.
Our Intellectual Property
The Service — including its software, design, documentation, and the Paddi name and logo — is owned by us and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service, and nothing more. All rights not expressly granted are reserved.
Feedback you send us about the Service is voluntary, and we may use it without obligation or compensation to you.
Suspension and Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if your use poses a security or legal risk, or if required by law — with notice where reasonably possible.
On termination, your right to use the Service ends immediately. Data deletion follows our Privacy Policy. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be error-free, secure, or continuously available, or that Output will meet your requirements.
Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising out of or related to your use of the Service — including damages arising from Output, code changes, or actions taken by code agents.
Our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or USD 100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
Governing Law
These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Tokyo, Japan, except where mandatory consumer protection law in your country of residence gives you the right to bring a claim elsewhere.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and/or a prominent notice within the Service, and update the "Last updated" date above. Continued use of the Service after the changes take effect means you accept the revised Terms.
